By-Laws—drafted December 2004

ARTICLE I----NAME
This organization shall be known as Transport Workers Union of America A.F.L.-C.I.O. - Local 295.

ARTICLE II--PURPOSE
The purpose of this organization shall be as follows:

  1. To improve county and state guidelines to better our job related conditions and benefits.
  2. To promote and establish the highest standards in all matters pertaining to the betterment of the membership.
  3. To encourage professional development and improvement of persons belonging to this organization.
  4. To cooperate with organizations for the improvement of the membership.

ARTICLE III--MEMBERSHIP

  1. Membership in this local shall consist of active members classified as bus drivers, monitors, attendants, mechanics, cafeteria workers, custodians, and building maintenance workers of the Pickens County Board of Education.
  2. The right to vote or hold office shall be limited to members in good standing.
    1. Members must be in good standing at least one year prior to nomination or appointment to office.

ARTICLE IV--MEETINGS

  1. Regular membership meetings for this Local, shall be held on the first Tuesday of each month according to the annual school calendar. These meetings will be held at a central location. Meetings may be called when necessary by the Executive Board, after a 24-hour notice.
  2. All reports to be presented at the monthly meeting shall be prepared in advance and it shall be the duty of each officer, so designated, of the Local to have a written report to present at these meetings.
  3. Two open house meetings per year will be held to recruit new members.

ARTICLE V—EXECUTIVE BOARD

  1. The Executive Board shall consist of members who shall fill the following positions:
    1. President.
    2. Vice-Presidents
    3. Recording Secretary
    4. Financial Secretary Treasurer
    5. Executive Board Member
  2. Executive meetings, consisting of a least four members of the Executive Board to constitute a quorum, may hold meetings between the regular meetings of the Local.
    1. The Board shall perform such duties as are outlined in the International Constitution or may be provided for in these By-Laws.
    2. The President shall appoint all committees subject to Executive Board approval.
    3. The Board shall see that all members or others, who are not entitled to remain in the meetings, shall retire after they have been heard and submitted their business to the Board.
    4. If, for lack of a quorum, a meeting of the membership is not held, then it shall be the duty of the Board to perform for the membership. Any action taken by the Board under this section shall be binding the same as if the entire membership were present and acted for same.

ARTICLE VI--COMMITTEES

  1. If vacancy occurs on a committee, it may be filled by appointment of the President, with approval of the Executive Board.
    1. By-Laws:
      This committee shall consist of two to three active members and one member from the previous year who will act as Chairperson. In December of each year, the committee will review the By-Laws and make recommendations for any amendments. These recommendations will be voted upon by the membership at the first meeting of the new year. Any amendments approved by the membership will take effect immediately, after approval by International.
    2. Stewards:
      Will consist of representatives that will act as liaisons between the Executive Board and the membership. Stewards will be appointed by the Executive Board. The term of office will be for three years.
    3. Grievance:
      All grievances are to be given in writing within 72 hours to a shop steward and forwarded to the President within 24 hours to be presented to the Executive Board for decision of validity of grievance within 72 hours.
    4. Fund Raising:
      To be done at the direction of the Executive Board.
    5. Refreshments:
      By the direction of the Executive Board.
    6. Nominating:
      This committee shall gather a slate of candidates, to be presented at the September meeting, with the permission of the nominee(s).

ARTICLE VII--OFFICERS

  1. Nomination of Officers shall take place at the September meeting in each three (3) year period. Elections shall be held at the October meeting. At the nomination meeting, the Chairman of the nominating shall present the slate of officers and any member in good standing may place in nomination, for any office, any member of this Local for which said nominee may be qualified under the International Constitution and Local By-Laws of this Local governing nominations and elections.
  2. The members shall elect by secret ballot, by majority vote, a President, Vice-President, Recording Secretary, Financial Secretary Treasurer and Executive Board Member. The person or persons receiving the highest number of votes in each case shall be declared elected to the respective office. They shall be obligated and installed as soon as possible after the election for a period of three (3) years.
  3. Each Officer of the Union shall hold office until his/her successor is chosen or until resignation or removal in accord with the International Constitution.
  4. Presidents Duties:
    1. The President and the Chairperson of the Executive Board shall be one and the same.
    2. Shall serve as Chairperson at all meetings of the Local.
    3. Shall have general supervision of all the officers of the Local and shall perform the duties normally expected of the Chief Executive of the Local.
    4. Shall be the duty of the President throughout the year to inform all members of the Executive Board of any transactions concerning the Local.
    5. Shall have overall responsibility of the preparation of the meeting of the Local.
    6. Shall be ex-officio of all committees, except the nominating committees, a delegate to conventions of the International Union and of all organizations to which the Local is affiliated.
    7. Shall approve all expenses incurred by the Local or any of its officers.
    8. Shall urge that all reports, papers, addresses, and lectures at the meeting be in advance and a copy of such be given to the Recording Secretary for filing with the records of the Local.
    9. Shall preserve order and enforce the Constitution and By-laws.
    10. Shall investigate and act on all grievances that may arise between members of the Local and the Company, with the assistance of the Local Executive Board as may be necessary.
  5. Vice-President Duties:
    1. The Vice-President shall work in conjunction with the President and assist the President to perform his or her duties. They shall act as a liaison between the President and the membership.
    2. During the absence of the President, the Vice President shall perform his/her duties.
    3. With the exception of the office of the Local President, where a vacancy occurs in any office, the vacancy shall be filled by the Local Executive Board. In the event that a vacancy occurs in the office of the Local President, the Vice-President shall be designated to act as President for the unexpired term.
  6. Recording Secretary’s Duties:
    1. Shall keep full and accurate records of the proceedings of meetings of the Local and the Executive Board.
    2. Shall be custodian of all property belonging to the Local.
    3. Read the minutes of any previous meeting.
    4. If requested, assists in and/or makes an agenda prior to each membership meeting for the use by the presiding officer showing what order of business must come before the Local.
    5. Receives membership information and prepares membership roster from same.
    6. Shall issue the call for all meetings of the Local.
    7. Shall be responsible for all correspondence between the Local Executive Board.
  7. Financial Secretary Treasurer’s Duties:
    1. Receives and disburses all moneys of the Local as prescribed in the International Constitution.
    2. Shall keep a correct account between the Union and its members.
    3. Shall keep a list of all members and maintain an updated master file of the membership at all times.
    4. Shall pay all approved claims.
    5. Shall keep a correct ledger of all receipts and disbursments supported by proper vouchers and shall balance the books.
    6. Shall act as custodian of all financial matters concerning the Local.
    7. Shall immediately furnish the incoming President with a financial statement.
    8. All checks shall be signed by the Financial Secretary Treasurer and CO-signed by the President. Two signatures are required for check disbursement at all times.
    9. Shall file all records and make them available for audit.
    10. Shall give monthly reports to the membership.
  8. Executive Board
    The Executive Board Member shall assist all the Officers in the fulfillment of their duties and shall comply with the International Constitution.

ARTICLE VIII--AMENDMENTS AND OPERATING RULES.

  1. The By-Laws of the Local may be altered or amended and new By-Laws may be adopted by 50% + 1 of the members present at the first meeting of the new year in January. The amendments will become effective upon approval of the International.
  2. At all meetings of the Local, a majority of the members present shall represent a quorum.
  3. All minutes regarding committees and monthly meetings of the the current Executive Board will be available upon request. Minutes may be viewed at any time by appointment of after meetings.
  4. Members will always wait to be recognized by the presiding officer before addressing the membership or making a motion. Always address your remarks to the Chair.
  5. No member will be permitted to be personal in his or her remarks as to offend another member.
  6. In all cases, meetings are to be conducted in an orderly fashion, in accordance with Roberts Rules of Order.
  7. The Funds of this Local shall consist of all money received from any sources.
  8. The Local Union shall make no loans to any member.
  9. No Officer or agents of this Local Union, or their spouses, parents, or minor children, shall engage in any business transactions or maintain any financial interest which are in conflict with the fiduciary obligations such person shall have toward the Local Union.
  10. Any member who shall deface or destroy any property belonging to this Local shall replace the property or reimburse the Local for same.
